Sorry if this suggestion has been already covered in the discussion, but...
It is true that a 4.2 license will not work for XSI 5.0. You have to
upgrade the license with a new license file (.keys). So, two things:
1- have you indeed installed that new license?
2- have you tried removing completely the SPM and its associated
directories (like C:\WINDOWS\system32\spm), reinstall the SPM server
and put only the 5.0 license key?
The 5.0 license key *should* work with 4.2 (unless you try to run both
versions at the same time).

Hello Stephen, this is what I get the info from "localhost" as you can
see it shows licence for 5.o BUT i'm still getting the plain simple
error: there is no interactive licence server. I appreciate everyones
help but after all the help i've gotten i've come to a
idea\conclusion. It seems that the 4.2 licence is not allowing the
5.0 to run (did someone mention this to me already !?!?) And I have no
clue after all the help and editing i'ved done why 5 can't just load
and that error message go away.
